Restructure of the Companys Subsidiaries

Attachment : The holding structure of the Company's subsidiaries which
restructure
Central Pattana Public Company Limited ("the Company") would like to inform
that the Company has restructured 2 subsidiaries of the Company by liquidating
the Central World Tower Company Limited ("CWT") and transferring total assets
and liabilities of CWT to Central World Company Limited ("CW"). The objective
of these transactions is to enhance the flexibility and efficiency of internal
management. These transactions have no effect on shareholders structure of the
Company, the subsidiaries, and the minority shareholder of the Company and 2
subsidiaries since the shareholders in both subsidiaries are the same group
with the same shareholding. The details are as follows;
1. The registration to liquidate CWT, a subsidiary in which the Company
directly and indirectly holds 92.5%, which manages the Offices at
CentralWorld. The registered capital is 1,850,000,000 baht (one thousand eight
hundred and fifty million baht). The liquidation registration was made on
December 17, 2007 and now is in the process of liquidating.
2. The registration to increase capital of CW, a subsidiary in which the
Company directly and indirectly holds 92.5% and has the same group of
minority shareholders as CWT, which provides utilities service for
CentralWorld Shopping Center. CW increased its share capital from
1,000,000,000 baht (one billion baht) to 2,511,938,100 baht (two thousand five
hundred and eleven million nine hundred thirty eight thousand and one hundred
baht) on December 18, 2007.The proceed of capital increase will be use to fund
the transferring total assets and liabilities of CWT to CW. New shares will be
allotted to CWT base on the same ratio of existing shareholders.
