It was previously reported that CR Rachaburi (Thailand) Co.,Ltd.,and CR Jantaburi (Thailand) Co.,Ltd., had appointed Central Pattana Plc (CPN) as a selling agent for their projects named "Robinson Mathawalai Rachaburi and Robinson Plaza Jantaburi. CPN now reports that its relationship as a selling agent of the said projects falls under the connected transaction rules and is subject to a disclosure to the Stock Exchange of Thailand (SET). CPN thus announced the said connected transaction as follows: 1. Date of transaction: August 15, 1996 2. General characteristics of transaction: CPN will act as the selling agent of the projects, Robinson Mathawalai Rachaburi and Robinson Plaza Jantaburi and will be paid for selling land of the said projects worth about Bt7 million as well as a marketing fee of Bt300,000. 3. Total value of remuneration: CPN expected to be paid a services fee worth about Bt7.30 million. 4. Criteria for remuneration setting: The remuneration was set by comparing the general fee that CPN gained to others in the same business. 5. Objectives: CPN needed to efficiently develop and expand its selling services. 6. Expected benefits: CPN will have more revenues from the services provided. 7. Names of related and connected persons: This transaction is a connected transaction due to the shareholding of the Jirathiwat Family in CR Rachaburi (Thailand) Co.,Ltd., and CR Jantaburi (Thailand) Co.,Ltd. and due to a shareholding ratio of 50% and 65% of Robinson Department Store Plc (ROBINS)'s subsidiary, CR (Thailand) Co.,Ltd., in both companies respectively.
