SELLS 30% STAKE IN SUBSIDIARY
Central Pattana Plc. (CPN) announced that it has been resolved to sell
a 30% stake in Pattana Charoenwiwat Co., Ltd., a subsidiary CPN earlier
established and reported on the details to SET, to Modern Tradition Co.,
Ltd. The selling details are given below:
1. Date of Transaction: June 30, 1997
2. Objective: To seek joint investor
3. Nature of Transaction: A sell-off of 30,000 common shares, with
Bt10 par value a share, worth Bt300,000 totally, in Pattana Charoenwiwat
Co., Ltd. to Modern Tradition Co., Ltd. (Pattana Charoenwiwat Co., Ltd.
has a fully paid-up capital of Bt1 million)
4. Investment Proportion: CPN holds 99,993 shares accounting for
99.993% of the registered capital of Pattana Charoenwiwat Co., Ltd. After
selling 30,000 shares to Modern Tradition Co., Ltd. under this
transaction, CPN will have 69,993 shares or a 69.993% stake in this
subsidiary on hand.
5. Total Value of Compensation: Bt300,000
6. Pricing Criteria: Shares' paid-up value
7. Asset Disposition Calculation: CPN confirmed the transaction was
not covered under the criteria relating to asset acquisition/disposition
of a listed company.
