CPN INFORMS THE RESULT OF TENDER OFFER TO BUY BACK ALL ITS OUTSTANDING EURO CONVERTIBLE DEBENTURES February 2, 2001 To : The President, The Stock Exchange of Thailand Subject : Announcement the result of tender offer to buy back all its outstanding Euro Convertible Debentures. According to the recent announcement that Central Pattana Public Company Limited had launched its Tender Offer to buy all outstanding Euro Convertible Debentures (ECD), amounting USD 29.15 million, to investors in the Luxembourg Stock Exchange during January 2nd- 15th , 2001. The company had extended the offer period until January 26th, 2001. The offer price was at USD 1,290 per bond or 129 % of principal amount plus 2.75% per annum interest accrued up to the settlement date. As of to date, the bondholders had redeemed ECD totalling approximately USD 1.34 million or Baht 75 million so the remaining ECD have total amounts of USD 27.81 million. To redeem ECD, the company had used its internal cash . There is no gain or loss from this transaction as the offer price approximated the bond value plus its redemption premium up to the offer date.
