January 7, 2002 Subject : Clarification of progress on the lease agreement of Central Plaza Ladprao with The State Railway of Thailand. To : The President The Stock Exchange of Thailand According to the reports in media and newspapers that Central Inter Pattana Company Limited, who is the Lessee of this project with The State Railway of Thailand and has sub-leased part of the land to the Company, has built and modified the building from the original building plan in the lease agreement with The State Railway of Thailand. Certain items are related to other companies in Central Group which will not affect the Company. Central Inter Pattana Co.,Ltd.,the lessee of the land and Central Pattana, the sub-lessee of the building, would like to confirm that all changes and modification are for the commercial purposes in the Companies' buildings. We have leased only the land of the project from The State Railway of Thailand. Consequently, the Company has right to consider an appropriateness of utilization of all space in these buildings and therefore it did not constitute any breaches in the lease agreement. However, the Company will fully cooperate with The State Railway of Thailand on the negotiation in order to finalize this issue as soon as possible. The Company believed that any conclusions would not materially affect the Company financial status or the Company performance.
