August 9, 2013 Subject: The lease of the properties (partial) in CentralPlaza Chiangmai Airport to CPN Retail Growth Leasehold Property Fund (CPNRF) To: The President The Stock Exchange of Thailand In reference to the resolution of the Board of Directors' Meeting No.6/2013 of Central Pattana Public Company Limited ("the Company"), held on August 9, 2013, has approved in principle to leasing of the properties (partial) in CentralPlaza Chiangmai Airport to CPN Retail Growth Leasehold Property Fund ("CPNRF"). The Company therefore informs you of the essential details as follows: Central Pattana Chiangmai Company Limited (a 99.99%-owned subsidiary), is going to put part of its properties up for 30-year rent and sell part of CentralPlaza Chiangmai Airport Project's properties to CPNRF, detailed as follows: - Land rent of about 32 rai, 3 ngan, and 56.85 square wa, which currently houses a shopping complex, a multipurpose hall, and their car parks together with paved roads around the project and the present entrance/exit. This excludes other land awaiting further development. - Rent of part of the shopping complex, the multipurpose hall, and their car parks altogether occupying 122,991 square meters in utility area and 35,343 square meters in leasable area. It excludes the area leased to Robinson Department Store and tenants under long-term leases, and leasable areas around car parks. - Rent of facilities and systems related to the shopping complex, the multipurpose hall, and their car parks. - Sell furniture, fixtures, and fittings. With this plan, the Company expects to invest in about 25.0-27.8% of CPNRF's total recapitalization NAVs. This plan is subject to the permission granted by the Securities and Exchange Commission (SEC), equity market situation, final price conclusion, as well as deliberation of price and condition details.
